End-User Licence Agreement

This is the agreement between you and the company that makes Constly for using the app. The plain summary: Constly is free for personal use with no functional restrictions — every feature included, no expiry, no watermark, nothing gated. A licence is optional for personal use; commercial or business use beyond 14 days requires a one-time paid licence. This page sets out the licence you're given, the one thing businesses owe, the few things you may not do, and the promises we make and don't make. Nothing here takes away the consumer rights you already have under Australian law — those always apply.

It covers the Constly desktop app on macOS, Windows, and Linux. For how Constly and this website handle your data, see the Privacy Policy, which is a separate document. By installing or using Constly, you agree to this licence; if you don't agree, don't use the app.

The short version

• Constly is free for personal use with no functional restrictions — every feature included, no expiry, no watermark, nothing gated. A personal licence is optional.
• Commercial or business use beyond 14 days requires a paid licence. Constly never enforces this — it never limits, degrades, or expires; compliance is a term of this agreement, not a feature of the software.
• A personal licence is a one-time purchase, is perpetual (it doesn't expire), and covers one person on up to three devices.
• Your key belongs to you, not to a machine — activate up to three devices, and deactivate one to move to another.
• Stripe is the seller of your licence; the company behind Constly is the one that grants you the right to use the software.
• Don't resell or share your key beyond your device limit, and don't pass the app off as your own.
• Nothing here limits the guarantees you get under the Australian Consumer Law.

Who we are, and who sells Constly

Constly is made by RUN THE WALL PTY LTD ("RTW", "we", "us"), an Australian company. RTW writes the app and grants you the licence to use it that this agreement describes. Our details:

Two roles, kept separate. When you buy a licence, the seller and merchant of record is Stripe (through Stripe Managed Payments): Stripe sells you the licence, takes the payment, and handles tax. That sale is also subject to Stripe's consumer terms. RTW is the company that makes Constly and grants you the right to use it, and your licence key is issued by RTW's own licensing system. Your card details are entered on Stripe's page and never reach RTW (see the Privacy Policy).

What Constly is

Constly is a desktop markdown editor. It runs on your computer, keeps your files as plain text on your own disk, and works offline. Everything you write with it is yours. The app itself is licensed to you, not sold: RTW keeps ownership of Constly (its code, name, and design) and of the parts it didn't take from open-source projects (see open-source components). What the app sends over the network, and when, is spelled out in the Privacy Policy.

Your licence to use Constly

Free personal use. RTW grants you a personal, non-exclusive licence to install and use Constly for your own personal purposes at no cost. Constly is free for personal use with no functional restrictions — every feature included, no expiry, no watermark, nothing gated — whether or not you ever buy a licence. For personal use, you never need to pay.

The optional paid licence. A personal licence is a one-time purchase and is perpetual — it does not expire. One personal licence is for one person and may be active on up to three devices at a time. Your licence is tied to you, the buyer, not to a particular machine: the key is yours to use across your own devices, up to that limit.

Activating and moving devices. You activate by entering your key, which the app verifies on your device without contacting anyone. Separately, each device registers against your licence so you can see and manage where it's active. When you reach three devices and want to use a fourth, deactivate one — from the app or from your account — to free a slot. Deactivating removes that device and lets you activate elsewhere. (The technical detail of what those requests carry is in the Privacy Policy.)

Commercial use

Personal use is free, without limit. Constly is free for personal use with no functional restrictions — every feature included, no expiry, no watermark, nothing gated. Use it for your own writing and projects for as long as you like, and never pay a cent.

Commercial use is licensed. Commercial or business use beyond 14 days requires a paid licence (a one-time purchase, for one person on up to three devices). Constly does not enforce this technically: the application never limits, degrades, or expires, and it never checks how you use it or phones home to find out. Compliance is a term of this agreement, not a feature of the software — the honour system that funds the work and keeps Constly free for everyone using it personally.

What a paid licence includes

Because nothing is gated, a licence isn't buying access to features — every feature already works for everyone. A licence gives you:

• No more reminder. After about two weeks of use, unlicensed Constly shows a gentle reminder roughly once a week. A licence retires it for good, and puts your name in the About box.
• Updates, and an honest durability note. Your licence includes all version 1.x updates for as long as version 1 is actively developed. RTW intends to keep shipping security fixes for as long as it maintains Constly. We're not going to promise "forever" from a small studio. What we can say plainly: if Constly's development ever stops, the last release you have stays yours to keep using, and our intention is to publish a fallback that can be open-sourced so it need not stop working. A future version 2.0, if there ever is one, would be a separate paid upgrade, with a loyalty discount for existing licence-holders.

Business and multi-seat licences

If your organisation wants licences for a team, business licences follow the same shape as a personal one: they are sold per user, and each user's seat covers up to three devices. The software is identical for everyone — the business tier exists for procurement and record-keeping, not because it adds or gates anything. Volume pricing and invoicing arrangements are provided at the point of purchase. The detailed business terms are still being finalised; email hello@constly.com for a quote or the current terms.

What you may not do

Constly is deliberately not locked down, and the app never blocks you from doing anything. Aside from the commercial-use term above, a short list of things that are off-limits:

• Don't resell, sublicense, rent out, or share your licence key, or use it on more devices than your licence allows.
• Don't forge, tamper with, or traffic in licence keys, or use a key you didn't obtain legitimately.
• Don't redistribute or sell the app as if it were your own, and don't remove or hide RTW's name, ownership, or the notices that ship with it.
• Don't reverse-engineer, decompile, or disassemble the app — except to the extent the law lets you do so despite this restriction, including where Australian law permits it for interoperability.

Open-source components in Constly

Constly is built on open-source software, and it bundles some of it. Notable pieces you're using include the CodeMirror editor, the KaTeX math typesetter, the Mermaid diagram renderer, an embedded Typst engine for PDF export, and the IBM Plex typefaces (used under the SIL Open Font License). This is not the full list.

Each of these components stays under its own open-source licence, and that licence — not this agreement — governs your use of that component; nothing here changes it. The complete set of bundled software is recorded in Constly's source repository (its dependency lockfiles and the licence files shipped alongside the vendored components), and we will publish a consolidated third-party notices file. Updates

Constly can check for and install updates, delivered as downloads that the app verifies against a signing key built into it. Automatic update checks are on by default and can be turned off in Settings, and the check itself sends nothing that identifies you — the details are in the Privacy Policy. Updates within version 1 are free for everyone; they are never gated behind a licence.

Australian Consumer Law and warranties

Your consumer guarantees come first. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this agreement excludes, restricts, or modifies any right, guarantee, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. If anything here conflicts with those rights, those rights win.

Beyond those rights. To the extent the law allows, and without touching the guarantees above, Constly is provided "as is": we don't promise it is free of every bug or fit for a particular purpose beyond what the law requires, and — again only so far as the law permits — RTW is not liable for indirect or consequential loss, or for loss you could reasonably have avoided (for instance, by keeping your own backups; Constly saves your work locally and never holds the only copy). We keep this honest and short on purpose; where the law says a limit like this can't apply, it doesn't.

Suspension and revocation

A paid licence can be revoked in a few limited cases: if the purchase was refunded or charged back, if the licence was obtained by fraud or with a forged key, or for a serious breach of this agreement.

Here's the important part: revocation does not take Constly away from you. The app keeps working, every feature stays available, your exports stay clean, and none of your documents or your work is touched or lost. What comes back is the gentle reminder and the unlicensed status — nothing more. Refunded licences stay visible in your account as history, marked as such.

Refunds

If you buy a licence and change your mind, you can ask for a refund within 30 days of purchase — no questions asked. The refund window and process are also shown at checkout. This page states the refund window; if what's shown at checkout or in your receipt is more generous to you, that more generous term applies instead. Refunds are processed by the seller of record (Stripe) under its consumer terms. When a licence is refunded it is revoked, as described just above — the app keeps working, the reminder returns, and your files are untouched. This is separate from, and in addition to, your rights under the Australian Consumer Law.

Governing law

RUN THE WALL PTY LTD is an Australian company based in New South Wales, and this agreement is governed by the laws of New South Wales, Australia. If you are a consumer in another country, you may also have rights under the laws where you live, and this clause does not take those away.

Changes to this agreement

We may update this agreement — for example, if the licence terms or the way we sell change. When we do, we'll update this page along with the version and effective date at the top, and for anything material we'll say so clearly. The version that applied when you bought your licence continues to govern that purchase. The version and date at the top tell you which revision you're reading.
